By order of the sole shareholder of the State Enterprise "Management of Entrepreneurship and Industrial Innovative Development of West Kazakhstan Region" No. 38-NQ dated September 13, 2022, Steckov Igor Valerievich, director of the West Kazakhstan branch of JSC "People's Bank of Kazakhstan", was appointed as an independent director. By order of the sole shareholder of the State Enterprise "Management of Entrepreneurship and Industrial Innovative Development of West Kazakhstan Region" No. 24-NQ dated July 13, 2023, Utepbayev Nurzhan Sapargeldiyevich, head of the State Enterprise "Management of Entrepreneurship and Industrial Innovative Development of West Kazakhstan Region", was elected as a member of the Board of Directors. By order of the sole shareholder of the State Enterprise "Management of Entrepreneurship and Industrial Innovative Development of West Kazakhstan Region" No. 54-NQ dated December 15, 2023, Dosmakov Yerzhan Nurzhanovich, Chairman of the Board of JSC SPK "Aqjaiyq", was appointed as an independent member of the Board of Directors. |

By order of the sole shareholder of the State Enterprise "Management of Entrepreneurship and Industrial Innovative Development of West Kazakhstan Region" No. 26-NQ dated July 22, 2024, Kayupov Tlepbayergen Yerzhaevich, Chairman of the Board of Directors, was excluded from the Board of Directors of JSC SPK "Aqjaiyq", and Aytmukhambetov Kaliyar Shadiyarovich, Deputy Akim of West Kazakhstan Region, was appointed as a new member of the Board of Directors. By decision of the Board of Directors of JSC SPK "Aqjaiyq" No. 11 dated July 25, 2024, Aytmukhambetov Kaliyar Shadiyarovich, Deputy Akim of West Kazakhstan Region, was elected as Chairman of the Board of Directors. By order of the sole shareholder of the State Enterprise "Management of Entrepreneurship and Industrial Innovative Development of West Kazakhstan Region" No. 27-NQ dated August 5, 2024, Sagitov Akylbek Temirbolatovich, deputy of the West Kazakhstan regional maslikhat, was appointed as an independent director. |

By order of the sole shareholder of the State Enterprise "Management of Entrepreneurship and Industrial Innovative Development of West Kazakhstan Region" No. 2-NQ dated January 27, 2025, Khalullin Zhasulan Zulydbaevich, head of the State Enterprise "Management of Agriculture of West Kazakhstan Region", was appointed as a member of the Board of Directors. In accordance with the order of the sole shareholder of the State Enterprise "Management of Entrepreneurship and Industrial Innovative Development of West Kazakhstan Region" No. 2-NQ dated January 27, 2025, Niyetkalieva Bibigul Abdigalieva was excluded from the Board of Directors of JSC SPK "Aqjaiyq". In accordance with the order of the sole shareholder of the State Enterprise "Management of Entrepreneurship and Industrial Innovative Development of West Kazakhstan Region" No. 14-NQ dated April 9, 2025, Steckov Igor Valerievich was excluded from the Board of Directors of JSC SPK "Aqjaiyq". By order of the sole shareholder of the State Enterprise "Management of Entrepreneurship and Industrial Innovative Development of West Kazakhstan Region" No. 19-NQ dated May 19, 2025, independent director Sagitov Akylbek Temirbolatovich was excluded from the Board of Directors of JSC SPK "Aqjaiyq". By order of the sole shareholder of the State Enterprise "Management of Entrepreneurship and Industrial Innovative Development of West Kazakhstan Region" No. 16-NQ dated April 29, 2025, Zhumabekov Zhasulan Nurlanovich, director of the West Kazakhstan branch of JSC "People's Bank of Kazakhstan", was appointed as an independent director of the Board of Directors of JSC SPK "Aqjaiyq". |

Corporate Secretary
Корпоративный секретарь АО «СПК «Aqjaiyq» является работником акционерного общества, не входящим в состав совета директоров и исполнительных органов. Корпоративный секретарь назначается советом директоров и подотчетен ему.
В пределах своих полномочий корпоративный секретарь организует и контролирует подготовку и проведение заседаний общего собрания акционеров и совета директоров, обеспечивает подготовку материалов по вопросам повестки дня, а также контролирует предоставление доступа к указанным материалам.
Полномочия, функции и порядок деятельности корпоративного секретаря определяются внутренними нормативными документами Общества.
К основным функциям корпоративного секретаря относятся:
- обеспечение условий для своевременного и эффективного принятия корпоративных решений советом директоров и единственным акционером;
- консультирование членов совета директоров по вопросам корпоративного управления, применения законодательства Республики Казахстан, Устава Общества и норм Кодекса корпоративного управления;
- контроль за выполнением решений, принятых общим собранием акционеров и советом директоров;
- формирование и ведение архива корпоративных документов, решений и материалов, относящихся к деятельности совета директоров и общего собрания акционеров;
- взаимодействие с акционерами в процессе подготовки, созыва и проведения общего собрания акционеров;
- контроль исполнения исполнительным органом и иными ключевыми работниками решений органов управления, а также информирование совета директоров о ходе и результатах их исполнения;
- разъяснение положений Кодекса корпоративного управления и контроль за его внедрением и соблюдением;
- участие в развитии и совершенствовании системы корпоративного управления Общества.
