On bidding for a share of 9% in the authorized capital of Licorice Kazakhstan LLP

Oral Social and Entrepreneurial Corporation Joint Stock Company announces the holding of a tender for a 9% stake in the authorized capital of Licorice Kazakhstan LLP.the tender that will take place;January 22, 201January 9 at 11:00 a.m.(Astana time) on the web portal of the Register of State Property www.gosreestr.kz .

The starting price (initial price) is 9 tiyn.

The amount of the guarantee fee is 15% from the initial price of the property being offered for sale.

Terms of sale of the property: payment of the value of the sold property minus the guarantee fee must be made by the winner by agreement of the parties, but no later than 30 (thirty) calendar days from the date of signing the purchase agreement. The acceptance and transfer certificate is signed within 1 (one) business day after full payment.

Registration of bidders is carried out from the date of publication of the notice and ends two hours before the start of the tender (Astana time).

To participate in the tender, you must first register on the registry's web portal with the following information:

1. for individuals: individual identification number (hereinafter referred to as IIN), surname, first name and patronymic (if any);
2. for legal entities: business identification number (hereinafter referred to as BIN), full name, surname, first name and patronymic (if any) of the first the head;
3. details of the current account in the second-tier bank for the refund of the guarantee fee;
4. contact information (postal address, telephone, fax, e-mail);

To register as a bidder, it is necessary to register an application for participation in the tender in the prescribed form, signed by the participant's EDS, on the web portal of the registry.

The bidders register the application with the attachment of electronic (scanned) copies of the following documents:

—the tender offer and the price offer signed by the bidder, uploaded in an electronic envelope on a specially designated web page of the registry,

—confirming compliance with the special conditions and additional requirements for the buyer specified in the notice of bidding.

Foreign legal entities shall submit notarized copies of the constituent documents with notarized translation into Kazakh and/or Russian.

After registration of the application for participation in the tender by the registry web portal, an automatic check is performed within three minutes for the presence in the registry database of information on the receipt of the guarantee fee for the object of sale for which the application has been submitted.

The reason for the registry's web portal's refusal to accept the application is the participant's failure to comply with the requirements specified in the announcement, as well as the failure to receive the guarantee fee specified in the bidding notice to a special transit account of a single operator two hours before the start of the auction.
If there is information in the registry database about the receipt of the guarantee fee to a special transit account of a single operator, the registry's web portal accepts the application and admits bidders. If there is no information in the registry database about the receipt of the guarantee fee to the special transit account of a single operator, the registry's web portal rejects the participant's application.

Based on the results of the automatic verification, the registry web portal sends an electronic notification of acceptance of the application or the reasons for refusal to accept the application to the participant's email address indicated on the registry web portal.

If the number of registered bidders is less than two, the tender is declared invalid.

The opening of applications for participation in the tender is carried out through the web portal of the registry automatically upon the date and time of the bidding specified in the notice of bidding.

When conducting a tender, the winner is the participant whose offer contains the highest price for the object of sale and satisfies the terms of the tender.

If at the tender the proposals of two or more participants contain the same highest price and satisfy the conditions of the tender, the winner of the tender among these participants is the participant whose application was accepted earlier than other applications of participants whose proposals contain the same highest price and satisfy the conditions of the tender.

The winner of the tender is notified of the results of the bidding by e-mail for signing an electronic protocol after the tender is completed.

The protocol on the results of bidding in the tender is formed by the web portal of the registry, signed using EDS by all members of the commission and the winner of the tender on the day of bidding.

During the tender, the seller sends an electronic notification of the results of the tender to the e-mail addresses of the participants indicated on the web portal of the registry, to which an electronic copy of the protocol on the results of the tender is attached.

The purchase and sale agreement is concluded in electronic form between the seller and the buyer, which contains a link to the protocol on the results of the auction, as the basis for concluding the agreement.

The person who won the auction, if he evades signing the protocol on the results of the auction or the contract of sale, loses the guarantee fee he has paid and compensates the seller for the real damage he has suffered in the part not covered by the guarantee fee.

Settlements under the purchase and sale agreement are made between JSC SEC Oral and the buyer. At the same time, the buyer makes calculations in the following order:
