The joint-stock company "The National Company" Socially-entrepreneurial corporation "Oral" announces the tender by way of a tender for the implementation of the stake in MFO "Oral" LLP 51%, which hold on November 25, 2016 at 11.00 (Astana time) portal of the State Property Register www.gosreestr.kz.
The starting price is 102 020 000 (one hundred two million twenty thousand) tenge, excluding VAT.
The amount of the guarantee fee is 15% of the initial price of the LLP for sale - 15,303,000 (fifteen million three hundred three thousand) tenge, excluding VAT.
The condition for the sale of property: the payment of the value of the property being sold is calculated as the amount proposed by the winner, increased by the amount of VAT minus the guarantee fee must be paid by the winner no later than 5 (five) business days from the date of signing the contract of sale. In the course of three years from the date of implementation, keep the profile of the LLP. Act of acceptance transfer must be signed within 1 (one) working day after full payment.
Registration of bidders is made from the day of publication of the notice and ends two hours before the start of the tender (Astana time).
To participate in the tender, you must first register on the web portal of the register with the indication:
- for individuals: individual identification number (hereinafter - IIN), last name, first name and patronymic (if any);
- for legal entities: business identification number (hereinafter - BIN), full name, surname, first name and patronymic (if available) of the first manager;
- details of the current account in the second-tier bank for the return of the guarantee fee;
- contact data (postal address, telephone, fax, e-mail);
When changing the above data, the participant changes the data entered in the registry's web portal within one working day.
To register as a tenderer, it is necessary to register an application for participation in tenders in the established form signed by the participant's EDS in the web portal of the register.
Tender participants register the application with the application of electronic (scanned) copies of the following documents:
- the tender offer and the price offer signed by the tender participant, loaded into the electronic envelope on the specially designated web page of the register,
- confirming compliance with special conditions and additional requirements for the buyer specified in the notice of bidding.
Foreign legal entities provide notarized copies of constituent documents with a notarized translation into Kazakh and / or Russian.
The winner of the tender shall present to the seller upon signing the purchase agreement the originals or notarized copies of documents attached to the application. Original documents after reconciliation are returned within one business hour.
After registration of the application for participation in the auction or tender, the web portal of the register makes automatic check for three minutes for the presence in the database of the register of information about receipt of the guarantee fee for the object of sale for which the application was filed.
The reason for the failure of the web portal of the register in accepting the application is the participant's failure to comply with the requirements specified in the announcement, as well as the receipt, two hours before the bidding, of the guarantee fee specified in the bidding notice on the special transit account of the single operator.
In the event that there is information in the registry database about the receipt of the guarantee fee on a special transit account for a single operator, the web portal of the register accepts the application and admission of bidders. If there is no information in the registry database about the receipt of the guarantee fee on a special transit account for a single operator, the register's web portal rejects the participant's application.
Based on the results of the automatic check, the registry's web portal sends an electronic notification on the acceptance of the application or the reasons for refusing to accept the application to the email address of the participant indicated on the registry's web portal.
If the number of registered bidders is less than two, then the tender is declared invalid, with the exception of the third and subsequent trades, where the object of sale can be sold to a single participant.
Opening of applications for participation in the tender is made through the web portal of the register automatically after the date and time of bidding indicated in the notice of bidding.
When conducting a tender, the winner is determined by the participant whose offer contains the highest price for the implementation object and satisfies the tender conditions.
In case if the bids of two or more participants contain the same highest price and satisfy the conditions of the tender, the winner of the tender among these participants is the participant whose application was accepted earlier than other applications of the participants whose bids contain the same highest price and satisfy the tender conditions.
The winner of the tender is notified of the results of the auction by e-mail to sign the electronic protocol after the tender is completed.
The protocol on the results of bidding in the tender is formed by the web portal of the register, signed with the use of EDS by all members of the commission and the winner of the tender on the day of the bidding.
At the tender the seller sends an electronic notification of the results of the tender to the e-mail addresses of the participants indicated on the web portal of the register to which an electronic copy of the results of bidding protocol is attached.
The contract of sale and purchase is written in writing between the seller and the buyer, in which the reference to the protocol on the results of the auction is indicated, as the basis for concluding the contract.
The person who won the auction, in case of evading the signing of the protocol on the results of the bidding or the contract of sale, loses its guarantee fee and reimburses the seller for the real damage suffered by him in the part not covered by the guarantee fee.
Settlements under the contract of sale and purchase are made between JSC "NC" SEC "Oral" and the buyer. In this case, the buyer performs the calculations in the following order:
1) The guarantee fee is included in the account of the advance payment due;
2) The remaining amount must be paid by agreement of the parties, but not later than 5 (five) banking days from the date of signing the contract of sale.
The realization of the participation share exempted from the value-added tax p. 11 p. 2 of Article 250 of the Tax Code of the Republic of Kazakhstan.
